End User License Agreement (EULA)
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Hanging Valley Enterprises LLC ("HVE") governing your use of software products published by HVE on Microsoft AppSource, including Vegetable Production Management (VPM) and RealTime Sales Enablement (RTSE) (collectively, "the Software"). This EULA applies to each product individually and to all HVE Software products as a whole.
1. License Grant
Subject to the terms of this EULA and payment of applicable fees, HVE grants you a non-exclusive, non-transferable license to install and use the Software within your Microsoft tenant environment for your internal business operations.
2. Permitted Use
You may use the Software for your internal business operations consistent with the intended purpose of each product. You may not sublicense, sell, resell, or distribute the Software without express written permission from HVE.
3. Restrictions
You may not reverse engineer, decompile, or disassemble the Software; remove or alter any proprietary notices; or use the Software in any manner that violates applicable law.
4. Extensibility and Customization
Where the Software is built on Microsoft Power Platform, HVE encourages licensees to extend and customize it using Microsoft Power Platform tools and AI-assisted development. Customizations remain the property of the Licensee. HVE is not responsible for the performance of Licensee customizations.
5. Intellectual Property
The Software and all related documentation are the intellectual property of HVE. This EULA grants no ownership rights.
6. Term and Termination
This EULA is effective upon installation and continues until terminated. HVE may terminate this EULA if you breach any of its terms.
7. Disclaimer of Warranties
The Software is provided "as is." HVE disclaims all warranties to the extent permitted by law. Full warranty terms to be provided upon legal review.
8. AppSource Purchases
Purchases made through Microsoft AppSource are also subject to Microsoft's applicable terms of service.
